The Origin
NEMESIS BRASIL PARTICIPAÇÕES S.A. is an investment holding company founded by Gabriel Freire. Over more than 20 years as a lawyer specialized in tax law and restructuring, Gabriel advised on some of Brazil’s largest corporate crises and developed a distinctive view on how to create value in special situations.
The Path
That path led to the founding of Nêmesis and to a direct role as investor and operator, alongside his career as legal advisor. Investments are made with proprietary capital, with no external mandate. Nêmesis commits capital, takes over management and works to stabilize and grow the business.
The Philosophy
Nêmesis pursues two strategies: turnarounds of companies in need of an operational or financial turnaround, and special situations where entry asymmetry creates an opportunity to generate value. Every investment is guided by the clarity of the operating value to be unlocked and the ability to resolve the short-term complexities the market is unwilling to face.

Gabriel Freire
Founding PartnerLawyer and entrepreneur with over 20 years of experience. He holds a Law degree from USP and is a founding partner of FASV, a firm specialized in tax law, insolvency and judicial reorganization.
He has advised on major restructuring cases in Brazil, including Inepar, IESA, Ecovix, Engevix, Camisaria Colombo and Grupo Terra Forte. He led the restructuring of Azevedo & Travassos (AZEV3), where he now serves as CEO and controlling shareholder. Board member at AZTE3 and YSSY.
Felipe Tersi
PartnerIndustrial Engineer from UFSCar, with a specialization in Corporate Finance from Columbia University. He worked in investment banking at Itaú BBA and Cypress (Galápagos), with prior experience at Opportunity.
His background spans M&A and capital markets, with experience across varied sectors and complex transactions. Leading YSSY’s finance department, he spearheaded the company’s financial restructuring and the renegotiation of its liabilities.
Franco Rocha
PartnerMechanical Engineer from UFSCar, with studies at Babson College in Boston. He worked in investment banking at Itaú BBA and in strategy consulting at Kearney.
He combines the business perspective of strategy consulting with experience in M&A and capital markets. At YSSY, he worked on restructuring the company’s commercial, operational and project divisions.
